Terms of service

Terms governing YeiLogic.

Last updated October 19, 2026

1. Agreement

These Terms are a binding agreement between you and YEIL LLC ("YeiLogic," "we," "us," or "our"). By creating an account, accepting these Terms, starting a trial, paying, accessing a YeiLogic website or app, or using any feature, you agree to these Terms and the Privacy Policy. If you act for an entity, you represent that you can bind it. Otherwise, you accept personally.

2. Service and mobile apps

YeiLogic provides Bookings software for scheduling, availability, customer workflows, supported payments, pickup products, and related business tools. It is not an emergency service, professional adviser, or guaranteed sales system. Features may change, be limited, or depend on service providers and compatible devices.

Mobile features may require a current app and operating system, network access, and permission for location, Bluetooth, NFC, notifications, or another identified device capability. You control those permissions, but denying one may disable the related feature. You are responsible for device security and installing important updates.

3. Eligibility and accounts

You must be at least 18, operate a United States business for United States operations, provide accurate information, protect credentials, promptly report unauthorized access, and accept responsibility for all authorized users and account activity. Phone verification confirms control of a number, not permanent legal identity.

4. Your business and customers

You—not YeiLogic—are the seller or service provider to your customers. You are responsible for services, pricing, deposits, refunds, appointments, licenses, staff, warranties, fulfillment, advertising, customer notices, accessibility, and disputes. You must review customer information, correct errors, honor opt-outs, and lawfully use any website, phone, calendar, payment account, file, or other source you connect.

5. Automation and accuracy

Rules and automation may be incomplete, inaccurate, or delayed. You must configure and supervise workflows and decide whether any availability, appointment, reminder, price, payment status, or recommendation is appropriate. Do not use automated output as professional advice or as the sole basis for a legally significant decision.

6. Customer communications and consent

You are responsible for laws and rules governing appointment confirmations, reminders, email, optional marketing, consent, opt-outs, and customer notices. You may contact only people you are legally permitted to contact and must keep required proof of consent.

YeiLogic SMS messaging programs

YeiLogic offers separately consented recurring automated SMS programs for appointment confirmations, changes, cancellations, and reminders; offers and business updates about the selected business; and account-owner setup, trial, feature, offer, and survey messages. Each program records its own consent. Enrollment is optional. Consent is not a condition of booking, purchasing, verifying a phone number, or buying YeiLogic. Message frequency varies. Message and data rates may apply. Reply HELP for help or STOP to opt out.

Online enrollment uses an unchecked checkbox beside the complete disclosure. Booking, phone verification, and purchase continue when the checkbox is left unchecked. See the Privacy Policy for how YeiLogic handles SMS consent and opt-out records.

7. Availability and connected services

You are responsible for accurate business hours, staff schedules, services, duration, capacity, calendar settings, closures, and connected-account permissions. YeiLogic may delay, reject, or remove availability when needed to prevent conflicts, abuse, nonpayment, security risk, or unlawful use.

8. Plans, trials, billing, and cancellation

Plan, allowance, trial, renewal, tax, and price details shown at checkout control. Eligible trials require a payment method and automatically convert to the selected monthly plan unless cancelled before the displayed trial end. Charges recur until cancelled. Fees are non-refundable to the maximum extent allowed by law unless YeiLogic states otherwise in writing. Failed payments, disputes, chargebacks, misuse, or plan-limit abuse may cause suspension or termination.

9. Customer commerce

When payments, deposits, Tap to Pay, refunds, inventory, pickup, forms, or signatures are available, the business remains the merchant and seller. The business is responsible for prices, taxes, catalog content, cancellation and refund rules, fulfillment, forms, legal sufficiency, and customer authorization. Payment processing and connected accounts are provided through regulated payment services under their own terms.

10. Customer data

You retain ownership of your business and customer data. You grant YeiLogic a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, copy, secure, back up, analyze, and otherwise use it to provide, maintain, secure, support, and improve the service and comply with law. You represent that you have authority to provide it.

Do not provide protected health information, consumer reports, full payment credentials, financial account numbers, government identifiers, children's data, biometric identifiers, passwords, security codes, API keys, or other regulated secrets unless the feature expressly supports the data and all required notices, consents, and written agreements are in place. YeiLogic is not your business associate, fiduciary, law firm, or regulated records custodian absent a separate written agreement.

11. Prohibited uses

You may not violate law or third-party rights; send deceptive, abusive, unlawful, or unsolicited content; impersonate others; hide a communication's origin; create fake reviews; conduct unlawful robocalls or robotexts; upload malware or stolen data; bypass security; attack or overload the service; reverse engineer except where law permits; or use YeiLogic to build or train a competing product without written permission.

12. Third-party services and app marketplaces

YeiLogic depends on service providers for hosting, databases, authentication, communications, email, payment, analytics, security, support, maps, address search, and calendars. Those services have their own terms, policies, outages, limits, and compliance rules. YeiLogic is not responsible for services it does not control.

If downloaded through an app marketplace, use is also subject to the applicable marketplace terms. The marketplace operator is not responsible for YeiLogic's operation, support, warranties, claims, or compliance except as its terms or law require, and may enforce these Terms as a third-party beneficiary where its platform terms provide.

13. Intellectual property and feedback

YeiLogic and its software, designs, workflows, prompts, names, logos, code, text, and materials belong to YeiLogic or its licensors. You receive a limited, revocable, non-exclusive, non-transferable right to use the service for internal business operations during your account term. Feedback may be used without restriction or compensation.

14. Confidentiality

You must protect non-public YeiLogic technical, security, product, pricing, roadmap, and business information and may use it only as needed for the service or as law requires.

15. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YEILOGIC IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT EXPRESS, IMPLIED, OR STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS, TITLE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, SECURITY, LEGAL COMPLIANCE, OR ERROR-FREE PERFORMANCE. We do not guarantee revenue, customers, bookings, delivery, payment acceptance, uptime, or error-free scheduling.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YEILOGIC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, VENDORS, AFFILIATES, AND LICENSORS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; LOST PROFITS, REVENUE, CUSTOMERS, GOODWILL, OR DATA; BUSINESS INTERRUPTION; LOSSES CAUSED BY YOUR PRICES, TAXES, SCHEDULES, FULFILLMENT, OR CUSTOMER COMMUNICATIONS; OR THIRD-PARTY FAILURES.

YEILOGIC'S TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID YEILOGIC DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Limitations apply to the maximum extent allowed by law.

17. Indemnification

You will defend, indemnify, and hold harmless YeiLogic and its owners, officers, employees, contractors, vendors, affiliates, and licensors from claims, losses, fines, penalties, settlements, and reasonable legal fees arising from your use, business, customers, data, communications, consent or recording practices, violation of law or these Terms, or infringement of another party's rights.

18. Suspension and termination

YeiLogic may suspend, limit, or terminate access for violation, nonpayment, chargebacks, excessive complaints, fraud or abuse risk, legal risk, security concerns, or harm to YeiLogic or others. You may stop using the service, but amounts owed and surviving obligations remain.

19. Export and deletion

Available export and permanent account-deletion controls are located in Settings > Data. Export before deletion and disable public links and connected services. YeiLogic may retain or withhold data as described in the Privacy Policy for billing, fraud prevention, legal duties, security, disputes, backups, and other disclosed reasons.

20. Emergency and high-risk use

YeiLogic is not an emergency service and must not be relied on for emergency dispatch, medical triage, life safety, law enforcement, critical infrastructure, or situations where delay, failure, or incorrect AI output could cause death, injury, property damage, or significant harm.

21. Export controls and sanctions

You may not use YeiLogic in violation of United States export-control or sanctions laws and represent that you are not a prohibited party or in a prohibited jurisdiction.

22. Arbitration, jury waiver, and class waiver

Before filing a claim, contact admin@yeilogic.com and attempt informal resolution for at least 30 days. Unresolved disputes will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except qualifying small-claims cases and court requests for injunctive relief protecting intellectual property, confidentiality, security, or unauthorized use.

The Federal Arbitration Act governs. YOU AND YEILOGIC WAIVE A JURY TRIAL AND AGREE TO PROCEED ONLY INDIVIDUALLY, NOT IN A CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE ACTION, TO THE MAXIMUM EXTENT PERMITTED BY LAW. You may opt out by emailing us within 30 days after first acceptance with your name, account email, business name, and a clear arbitration opt-out statement.

23. Governing law and venue

Tennessee law and applicable United States federal law govern, without regard to conflict rules. Subject to arbitration, courts in Davidson County, Tennessee, and the federal courts serving that county have exclusive jurisdiction and venue.

24. Changes and miscellaneous

We may update these Terms by posting a new date and may provide additional notice or request renewed acceptance when required. These Terms, the Privacy Policy, and accepted written order or billing terms are the entire agreement. Unenforceable provisions are severed; remaining provisions continue. YeiLogic may assign these Terms; you may not without written consent. Non-enforcement is not a waiver. Events beyond reasonable control excuse affected delay or failure.
